Terms and Conditions
Quotes
An initial meeting or discussion is to be arranged by the client in order to determine the scope and size of the work. A technical consultant from Iridescent will attend the meeting in order to establish the work involved and to determine the amount of resource and time required in order to prepare a realistic and measured quote for the work. This may involve several meetings or discussions either at the offices of Iridescent or at the client's site.
Once the work required has been captured by Iridescent in a "requirements specification" document, then a quote will be formally offered to the client along with the "requirements specification" document. This quote is fixed and will not change unless the "requirements specification" document is subsequently altered at the request of the client. If this happens then a new "requirements specification" document will be generated and a new quote issued accordingly. This does not affect any on-going work on previous quotes offered by Iridescent.
Iridescent sets aside a period of two working weeks in order to gather all the information needed to produce the "requirements specification" document and the quote for the client. In this period Iridescent will need a contact at the client's site in order to meet these timescales. The quote will also offer a deliverable date for the project, plus any intermediate deliverables as agreed by previous meetings with the client. The deliverable dates will be those as agreed by Iridescent and the client and will be driven by a number of factors including, but not limited to: resources available to Iridescent, time critical components needed by the client, size of the work and complexity of the work.
A contract provided by Iridescent must be signed before any work can progress as this outlines all detailed items not covered in this terms and conditions statement.
Payment
Once a formally offered quote has been accepted by the client an initial payment of 50% of the quote (+VAT) is to be paid to Iridescent before any work will be started on the project. This initial fee is to cover any expenses incurred by Iridescent Ltd. whilst the project is under way, including specific resources, hardware and software required to meet the demands of the "requirements specification" document. The remaining 50% will be paid to Iridescent on delivery of the final product, this being the product as defined in the "requirements specification" document.
Iridescent reserves the right to agree differing payment terms with each client on a case-by-case basis.
Any failure to make a payment will result in work being postponed on the clients' project. If this affects any time-scale deliverables then Iridescent will inform the client of this and agree the course of action to either meet the deliverable dates or to negotiate new dates based upon the criteria outlined above.
Payment must be made within 30 days without exception. Iridescent reserves the right to charge interest on any sums outstanding after 30 days at the rate of 20% APR calculated on a daily compounded basis.
Deliverables
A deliverable is a product as defined in the formal "requirements specification" document.
All deliverables will remain the intellectual property of Iridescent unless explicitly agreed with the client.
No responsibility or liability is undertaken or accepted by Iridescent for any third party product required for the client to complete the deliverable.
Any fault found with the deliverable that is agreed to be a "bug" by Iridescent and the client will be fixed free of charge. Any fault raised by the client that is deemed to be "scope creep" or is not within the "requirements specification" document will be deemed an alteration request and will result in the production of a new "requirements specification" document and a new quote.
All deliverables will be tested by Iridescent before delivery but the client will need to "sign-off" the deliverable by satisfying their own acceptance testing criteria. At sign-off, the deliverable is deemed to be complete and the payment terms as agreed will come into force.
Use Of Resources
Iridescent will provide its development team with all the development software required to deliver the final product. Any hardware or software required that is deemed to be "non-standard" development products as agreed between Iridescent and the client are to be supplied by the client and remain the property of the client for the length of the project.
Iridescent will provide the human resources required to develop the product including developers, analysts and project leaders. Iridescent reserves the right to use any person(s) they deem able and competent to do the work. This may involve juniors supervised by seniors, contractors or permanent staff.
The client will make available person(s) to Iridescent to act as liaison for deliverables or clarification of any point in the "requirements specification" document. These person(s) must be available during the clients working hours or an alternative escalation procedure must be established. These person(s) will be Iridescent's point of contact for all matters during the time of the project.
Contact
Iridescent will make available any member of the project team for telephone / email contact by the client during Iridescent's working hours of 09:00 – 18:00. Contact at any time outside these working hours is at the discretion of the Iridescent employee and is not guaranteed to the client.
Iridescent must be given two clear working days' notice of any meeting arranged by the client which requires personnel from Iridescent to be present.
The client must inform Iridescent of any situation that may affect the product being developed as soon as the situation becomes known to the client.

Any deviation from these terms and conditions must be approved in writing by Iridescent.
